**EU & MiCA Lead Counsel – Licensing and Compliance for EU Subsidiaries**

*(EU Regulatory & MiCA Memorandum)*

---

## I. Systemic Role within SwissChain Architecture

Ellex acts as **SwissChain’s main MiCA and EU regulatory counsel for future EU subsidiaries**, not for SwissChain Holding SA itself. Their mandate is to design, draft and maintain the **full MiCA compliance framework** – policies, procedures and controls – for any group entities that will be incorporated and licensed **inside the European Union** (for example, future EU‑based regulated operating companies).

In the group architecture, Ellex sits at the **EU‑licensed perimeter**: as SwissChain expands and sets up EU entities that will provide regulated crypto‑asset or financial services under MiCA, Ellex is responsible for ensuring that those entities are correctly structured, properly documented and successfully licensed by the relevant EU competent authorities. SwissChain Holding remains a non‑licensed Swiss technology holding; Ellex focuses on the EU subsidiaries that will directly fall under MiCA.

---

## II. Legal Nature, Regulatory Perimeter and Market Positioning

Ellex is a leading Baltic regional law firm (Estonia, Latvia, Lithuania) with a strong practice in **EU financial regulation, fintech and capital markets**. The firm advises banks, investment firms, payment institutions and crypto businesses on licensing, passporting and ongoing compliance with MiFID II, PSD2, AML directives and, since 2024, **MiCA**.

For SwissChain, Ellex is the **primary legal architect and project manager for future MiCA‑licensed group entities** in the EU. Their work covers:

- Analysing which activities of planned EU subsidiaries qualify as **MiCA crypto-asset services** (custody, trading platform operation, exchange of crypto-assets for funds, execution of orders, placing, advice, etc.).
- Determining the **appropriate licence type and home Member State** for each EU entity.
- Steering the **licensing process** with EU regulators, from pre‑filing to authorisation and into the supervisory phase.

Ellex’s recognition as a regional leader in fintech and MiCA implementation is critical for institutional audiences: it shows that SwissChain’s EU‑regulated entities are being built in line with mainstream market and supervisory expectations, not bespoke interpretations from outside the EU.

---

## III. MiCA Licensing Framework: Policies, Procedures and Controls

Ellex’s core deliverables for SwissChain’s EU subsidiaries comprise a complete **MiCA compliance framework**, typically including:

- A **MiCA Compliance Policy** for each EU subsidiary, explaining its business model, the crypto‑asset services it provides, the MiCA provisions that apply, and the overarching compliance principles it follows.
- Detailed **Internal Procedures and Manuals**, such as:
 - Client onboarding and KYC/AML procedures aligned with EU AML directives and MiCA governance expectations.
 - Product‑approval and risk‑assessment processes for new crypto‑asset services.
 - Procedures for handling client orders, conflicts of interest, best execution, complaints and incident reporting.
 - Operational resilience, outsourcing and ICT‑risk procedures where third‑party providers (custodians, core‑banking, cloud) are used.
- **Control descriptions and registers**:
 - Registers of complaints, incidents and breaches.
 - Risk and compliance reports for the management body.
 - Documentation evidencing periodic testing of controls and staff training.

These documents are drafted to the standard expected by EU regulators and are submitted, in whole or in part, as part of the **MiCA licence application package** for each EU subsidiary.

---

## IV. Licensing Project Management and Regulator Interface

Beyond documentation, Ellex acts as **project manager and lead interface with EU regulators** for MiCA applications:

- Preparing and filing the **licence application**, including business plans, organisation charts, governance descriptions, fit‑and‑proper documentation for board and management, and detailed descriptions of services and outsourced functions.
- Handling **Q&A rounds** with the competent authority, clarifying aspects of the business model, risk management and outsourcing (e.g. use of Swiss or offshore providers, use of BX Digital, InCore, or other partners).
- Supporting SwissChain’s EU subsidiaries in establishing **ongoing supervisory relationships**, including periodic reporting, notifications of changes and responses to inspections.

This role ensures that SwissChain’s EU entities are built and launched with a **regulator‑ready posture** from day one, rather than retrofitting compliance after the fact.

---

## V. Risk Mitigation Mechanics and Residual Risk

Ellex’s involvement mitigates key risks for SwissChain’s EU strategy:

- **Licensing risk:** Poorly designed applications or incomplete policies can lead to licence refusals or heavy conditions. Ellex’s experience with MiCA and EU licensing increases the chances of a smooth authorisation process and realistic licence scope.
- **Regulatory interpretation risk:** MiCA is new and national regulators may interpret provisions differently. Ellex helps align SwissChain’s EU entities with the evolving interpretations and ESMA/EBA guidance, reducing the risk of being out of step.
- **Supervisory relationship risk:** EU regulators value clarity, responsiveness and documented control frameworks. With Ellex as the structured interface, SwissChain’s EU subsidiaries can present consistent, high‑quality responses.

Residual risks include the general uncertainty of a new regulatory regime and potential shifts in national supervisory expectations. Mitigation comes through Ellex’s **continuous advisory role**, updating the framework and advising on any necessary licence variations or structural adjustments.

---

## VI. Integration with SwissChain’s Swiss and Global Legal Stack

Ellex’s work integrates with the rest of SwissChain’s legal stack as follows:

- **OA Legal (Swiss):** Ellex ensures that the structure, governance and service descriptions of EU subsidiaries are compatible with how SwissChain Holding SA and other Swiss entities are set up and presented.
- **Biba Homsy (regulatory strategy):** Ellex provides the detailed EU and MiCA layer that Biba Homsy uses when stress‑testing SwissChain’s overall regulatory positioning across Switzerland, the EU and other jurisdictions.
- **K&S Legal and other local counsel:** Where specific EU jurisdictions require local implementation (e.g. corporate law, employment), Ellex coordinates with local firms while maintaining the overall MiCA compliance design.

This creates a **coherent regulatory stack**: Swiss law at the holding level, MiCA and EU law at the subsidiary level, all backed by named specialist firms.

---

## VII. Auditability, Institutional Comfort and Strategic Implications

Having Ellex as lead MiCA counsel for EU subsidiaries allows SwissChain to demonstrate that any EU‑regulated entities in the group:

- Have a **complete set of MiCA‑grade policies, procedures and controls**, drafted by a firm deeply involved in EU financial regulation.
- Have gone through a **professionally managed licensing process**, rather than an ad‑hoc or improvised filing.
- Are supported by an EU firm that will continue to monitor regulatory developments and help adjust the framework over time.

Strategically, this supports SwissChain’s position as a **Swiss‑centred technology holding** that nevertheless builds its EU presence with full respect for MiCA and EU regulatory norms, improving bankability and trust with European partners and investors.
